Terms and Conditions

Effective date: 20 October 2026 · Last updated: 19 October 2026

1. Acceptance of these Terms

These Terms and Conditions ("Terms") govern access to and use of kinnow.ai and the Kinnow Enterprise Reasoning Platform, including its web application, AI features, APIs and related services (the "Services"), provided by Kinnow Tech Private Limited, CIN U58200KA2026PTC227038, registered office at 3rd Floor, Site No. 74, Mass Complex, 15th Cross Road, Sarakki Industrial Layout, Dollar Layout, 3rd Phase, J. P. Nagar, Bengaluru, Karnataka 560078, India ("Kinnow", "we", "us").

By creating an account, clicking "I agree", or using the Services, you accept these Terms on behalf of yourself and the organisation you represent ("Customer", "you"). If you do not have authority to bind that organisation, do not use the Services.

Where Kinnow and the Customer have signed a Master Services Agreement, Order Form or other written agreement (an "Agreement"), that Agreement prevails over these Terms to the extent of any conflict. Our Privacy Policy forms part of these Terms.

These Terms are an electronic record under the Information Technology Act, 2000 and do not require a physical or digital signature.

2. Definitions

Customer Data - all data, files and content that you or your users upload to, or create in, the Services, excluding Kinnow Technology.

Output - content, suggestions, drafts, reconciliations, classifications or other results generated for you by the Services, including by AI features.

Kinnow Technology - the Services and all software, models, prompts, algorithms, workflows, agent specifications, configurations, data schemas, methods, documentation and know-how used to provide them, and all improvements to them.

Credits - prepaid units that are consumed when you use metered features, including AI features.

Authorised Users - your employees, contractors, advisers (including your Chartered Accountant practice) and other individuals you permit to use the Services under your account.

3. Eligibility and accounts

The Services are for business use only. You must be at least 18 years old and legally able to enter into a binding contract. The Services are not intended for personal, family or household use.

You are responsible for:

  • providing accurate registration and billing information, including GSTIN where applicable, and keeping it current;
  • all activity under your account, and the acts and omissions of your Authorised Users;
  • keeping credentials confidential and enabling the security features available to you; and
  • telling us promptly at [email protected] if you suspect unauthorised access.

Accounts are for the named organisation only and may not be shared with, resold to or used for the benefit of another entity unless you are an authorised Kinnow partner acting under a separate partner agreement.

4. The Services

Kinnow provides a cloud-based platform for running business operations, including records, transactions, compliance workflows, reporting and AI features. The applications, features, jurisdictions and service levels available to you are those described in your plan, Order Form or the documentation at the time you subscribe.

We continuously improve the Services and may add, modify or retire features. We will not materially reduce the core functionality of a paid service during a paid term without giving you at least 30 days' notice and, where you are materially affected, the option to terminate and receive a pro-rata refund of prepaid fees for the unused period.

Features marked "beta", "preview" or "early access" are provided as is, may change or be withdrawn, and are excluded from any service-level commitment.

5. Fees, Credits and taxes

No licence fee. Kinnow does not charge a licence fee for the software, including any application, and does not charge per user or per seat.

Paid services. Charges apply only to services, not to the software licence. They are the services described on our pricing page or in your Order Form, which are: Kinnow Cloud (hosting and infrastructure); an agent pack, which pays for the agent work, includes storage and includes the support and continuity tier you choose at onboarding (for example Priority, Premium, Assured or Critical); one-time setup, including implementation and data migration; and any customisation you ask for. Prices for these services are as stated at the time of purchase.

Credits. Credits are purchased in advance and consumed as agents do work for you. Unless your Order Form says otherwise:

  • monthly agent-pack Credits refresh each month, and up to 20% of the unused pack Credits carry over for one month only; top-up Credits are valid for 12 months from purchase and expire automatically after that;
  • Credits are non-refundable, non-transferable and have no cash value, except where required by law or where we terminate the Services for convenience;
  • the number of Credits consumed by a task is shown in the product or the documentation, and may vary with the size and complexity of the task; and
  • you can set usage limits and alerts, and are responsible for usage by your Authorised Users.

Invoicing and payment. Fees are invoiced in Indian Rupees unless otherwise agreed and are payable within 15 days of the invoice date. Overdue amounts may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower. We may suspend paid features if an undisputed amount remains unpaid 15 days after we notify you.

Taxes. Fees exclude GST and other applicable taxes, which will be charged in addition. If you are required to deduct tax at source, you must provide the TDS certificate within the statutory time; otherwise we may treat the deducted amount as unpaid.

Price changes. We may change prices for paid services by giving at least 30 days' notice. Changes apply from your next renewal or purchase, not to Credits or terms already paid for.

6. AI features and Outputs

Nature of Outputs. AI features generate Outputs using probabilistic methods. Outputs may be incomplete, inaccurate or unsuitable for your circumstances, and similar inputs may produce different Outputs. You must review Outputs before relying on them or acting on them.

Not professional advice. The Services, including Outputs relating to accounting, GST, income tax, TDS, payroll, labour law, customs, corporate filings or any other statutory matter, are tools to assist you and your advisers. They are not legal, tax, accounting, audit, investment or other professional advice. You and your professional advisers remain solely responsible for the accuracy of your books, returns, filings, payments and statutory compliance, and for decisions taken using the Services.

Approvals and automated actions. Where you configure the Services to take actions automatically - for example, posting entries, raising documents, sending communications or initiating filings - you are responsible for the rules, thresholds and approvals you set, and for the actions taken under them.

Ownership of Outputs. As between you and Kinnow, and subject to these Terms, you own the Outputs generated from your Customer Data. Kinnow Technology, and any generic, non-customer-specific elements of Outputs, remain owned by Kinnow.

Model and method confidentiality. Kinnow does not disclose, and is not obliged to disclose, the models, providers, prompts, agent specifications, methods, weights, configurations or internal logic used to deliver AI features. These form part of Kinnow Technology and our Confidential Information.

Responsible use. You must not use AI features to generate content that is unlawful, defamatory, discriminatory, deceptive or infringing, or to make decisions with legal or similarly significant effects on individuals without appropriate human review.

7. Acceptable use and restrictions

You must use the Services only for your internal business purposes and in compliance with applicable law. You must not, and must not allow anyone else to:

  • copy, modify, translate or create derivative works of Kinnow Technology;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, models, weights, prompts, system instructions, agent specifications, workflows, data schemas or internal logic of the Services, except to the limited extent applicable law expressly permits despite this restriction;
  • probe, prompt or query the Services in a manner designed to extract, reconstruct or infer system prompts, instructions, model behaviour or training data (including "prompt injection" or "jailbreak" techniques);
  • use the Services or Outputs to build, train, fine-tune, evaluate or benchmark a competing product or AI model, or publish benchmark or performance results without our prior written consent;
  • scrape, crawl, harvest or systematically extract data from the Services by automated means other than our published APIs, within their limits;
  • sell, sublicense, rent, lease, white-label or provide the Services to third parties, except as permitted under a Kinnow partner agreement;
  • circumvent usage limits, Credit metering, access controls or security measures, or access the Services through any unauthorised interface;
  • upload malicious code, interfere with the integrity or performance of the Services, or attempt to access another customer's data;
  • upload Customer Data you do not have the right to process, or use the Services to process personal data in breach of the DPDP Act or other applicable law;
  • use the Services for any unlawful, fraudulent or deceptive purpose, including tax evasion, money laundering, falsification of books or records, or circumvention of sanctions; or
  • remove or obscure any proprietary notices of Kinnow.

We may monitor use of the Services for security, metering and compliance with these Terms.

8. Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or would reasonably be understood to be confidential. Kinnow Technology, our pricing proposals and product roadmaps are Kinnow's Confidential Information. Customer Data is your Confidential Information.

The receiving party will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel, advisers and service providers who need to know it and are bound by equivalent obligations. These obligations do not apply to information that is public through no fault of the recipient, already lawfully known to it, independently developed, or rightfully received from a third party. A party may disclose Confidential Information where required by law, after giving the other party prompt notice where lawful.

These obligations survive for 5 years after termination, and for trade secrets and Kinnow Technology, for as long as they remain confidential.

9. Your data

Ownership. You retain all rights in your Customer Data. You grant Kinnow a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Services, to comply with law, and as otherwise instructed by you.

Data protection. For personal data within Customer Data, you are the Data Fiduciary and Kinnow is your Data Processor. We will process it in accordance with our Privacy Policy and, where signed, our Data Processing Agreement. You are responsible for providing notices to and obtaining any consents from individuals whose data you upload.

Aggregated data. We may collect and use aggregated and de-identified data derived from use of the Services to operate, secure and improve the Services, provided it does not identify you, your Authorised Users or any individual.

Export and deletion. You can export your Customer Data during the term in standard formats. After termination, we will make Customer Data available for export for 30 days and then delete it in line with our Privacy Policy, except where law requires us to retain it.

Your responsibility for backups. While we maintain backups for disaster recovery, you remain responsible for maintaining copies of records you are legally required to keep.

10. Intellectual property

Kinnow Technology. Kinnow and its licensors own all rights, title and interest in Kinnow Technology, including all modifications, enhancements and derivative works, however created. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right for your Authorised Users to use the Services during the term for your internal business purposes. All rights not expressly granted are reserved.

Customisations. Customisation is part of the Kinnow product, not a bespoke service and not an exclusive arrangement. Configurations, customisations, integrations, templates, workflows, agents and other work product that Kinnow creates in connection with the Services, including at your request or for a fee, form part of Kinnow Technology, and Kinnow may offer them to other customers. You may use them under the licence above for as long as your term runs. Unless an Agreement expressly states otherwise, no customisation is exclusive to you. This does not transfer to Kinnow any ownership of your Customer Data or your pre-existing materials.

Feedback. If you give us suggestions, ideas or feedback, we may use them freely without obligation to you.

Trademarks. "Kinnow", "kinnow.ai" and the Kinnow logo are trademarks of Kinnow. You may not use them without our prior written consent. You agree that we may name your organisation as a customer only with your prior written consent.

11. Third-party services and integrations

The Services may connect to third-party products, including accounting software, banks, payment gateways, government portals (such as GST, e-invoicing and e-way bill systems), messaging platforms and marketplaces. Your use of them is governed by their own terms. Kinnow is not responsible for their availability, accuracy, security or changes to their interfaces, and an outage or change in a third-party or government system is not a failure of the Services. By enabling an integration, you authorise us to exchange Customer Data with that service as configured.

12. Availability, maintenance and support

We will use commercially reasonable efforts to keep the Services available, excluding scheduled maintenance (notified in advance where practicable), emergency maintenance, and events outside our reasonable control. Specific uptime commitments, service credits, recovery objectives and support response times apply only where set out in an Agreement or a purchased support plan; service credits under those plans are your sole remedy for availability shortfalls.

Support is available through the channels listed in the product. Jurisdiction-specific features are available only for the countries and to the depth described in the documentation for your plan.

13. Warranties and disclaimers

Each party warrants that it has the authority to enter into these Terms. Kinnow warrants that it will provide paid services with reasonable skill and care and will not materially reduce the security of the Services during a paid term. Your sole remedy for breach of this warranty is for us to re-perform the deficient service or, if we cannot do so within a reasonable time, to terminate the affected service and refund prepaid fees for the unused period.

Except as expressly stated in these Terms, the Services and Outputs are provided "as is" and "as available". To the maximum extent permitted by law, Kinnow disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and that the Services will be uninterrupted or error-free, or that Outputs will be accurate, complete or compliant with any law.

14. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or anticipated savings, however caused, even if advised of the possibility;
  • Kinnow is not liable for any interest, penalty, late fee or demand imposed by a tax or regulatory authority, or any loss arising from reliance on an Output without review, from your configuration of the Services, or from a third-party or government system; and
  • each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees paid and payable by you to Kinnow in the 12 months before the event giving rise to the claim, or ₹10,000 where no fees were paid.

These limits do not apply to your payment obligations, a party's breach of Section 8 (Confidentiality), your breach of Section 7 (Acceptable use), your indemnity obligations, or liability that cannot be limited by law.

15. Indemnity

By Kinnow. Kinnow will defend you against any third-party claim alleging that the Services, as provided by Kinnow and used in accordance with these Terms, infringe that third party's intellectual property rights in India, and will pay amounts finally awarded or agreed in settlement. If such a claim arises, we may modify the Services, obtain a licence, or terminate the affected service and refund prepaid fees for the unused period. This does not apply to claims arising from Customer Data, third-party services, combinations not supplied by us, or modifications not made by us.

By you. You will defend and indemnify Kinnow, its directors, employees and affiliates against any third-party claim, penalty or regulatory action arising from your Customer Data, your breach of Section 7 or applicable law, or your use of Outputs.

The indemnified party must give prompt notice of the claim, allow the indemnifying party to control its defence and settlement, and provide reasonable cooperation.

16. Term, suspension and termination

Term. These Terms apply from when you first use the Services until your account is closed. Paid subscriptions run for the term in your Order Form and renew automatically for the same period unless either party gives notice of non-renewal at least 30 days before the renewal date.

Suspension. We may suspend access, in whole or in part, without liability if we reasonably believe that your use poses a security risk, breaches Section 7, may expose Kinnow or others to legal liability, or if undisputed fees remain unpaid as described in Section 5. We will give notice where practicable and restore access once the issue is resolved.

Termination. You may close your account at any time; prepaid fees and Credits are not refundable except as stated in these Terms. Either party may terminate for material breach not cured within 30 days of written notice. We may terminate immediately for a breach of Section 7 or if you become insolvent.

Effect. On termination, your right to use the Services ends, outstanding fees become payable, and Section 9 (Export and deletion) applies. Sections 5 (for amounts owed), 6, 7, 8, 9, 10, 13, 14, 15, 17 and 18 survive.

17. Governing law and dispute resolution

These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion between senior representatives for 30 days. Unresolved disputes will be finally settled by arbitration by a sole arbitrator appointed by mutual agreement under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Bengaluru, Karnataka, and proceedings will be in English. Subject to this, the courts at Bengaluru have exclusive jurisdiction. Either party may seek urgent interim relief from any competent court to protect its Confidential Information or intellectual property.

18. General

Changes to these Terms. We may update these Terms. Material changes will be notified to account administrators at least 30 days before they take effect, and apply from your next renewal where you are on a paid term. Continued use after the effective date means you accept the updated Terms.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, power or internet failures, or failures of government portals, other than payment obligations.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor in a merger, acquisition or sale of assets.

Independent parties. The parties are independent contractors. Nothing creates a partnership, agency or employment relationship.

Notices. We may send notices to the administrator email on your account or in the product. Notices to Kinnow must be sent to [email protected] with a copy to our registered office.

Export and sanctions. You will comply with applicable export control and sanctions laws in your use of the Services.

Entire agreement. These Terms, the Privacy Policy and any Agreement form the entire agreement on this subject. If any provision is unenforceable, the rest remain in effect. Failure to enforce a right is not a waiver.
